Earlier today, Senator Lori Berman (D- Boca Raton) and Representative Berny Jacques (R-Seminole), filed SB 1346 and HB 1231 to address and update certain business law provisions allowing for the creation of series limited liability corporations (series LLCs) in Florida. Currently, there are many businesses using series LLCs that operate in and around Florida, but are unable to register in the state due to a lack of legislation and statutory guidelines on the topic. This bill seeks to further expand Florida’s business friendly environment by allowing businesses that use series LLCs to base themselves out of Florida.
“Today, Florida does not have any law addressing series LLCs that are operating in Florida. Businesses have gone to other states to form their series and then operate in and around Florida,” stated Senator Berman. “This law would allow Florida to become more attractive for business entity formation using series LLCs, and provides rules for doing business with series LLCs in Florida.”
“We are refiling this transformative legislation because it will lead to enhanced business growth in our state by giving us an extra tool in our toolkit to attract high paying jobs to relocate here,” said RepresentativeJacques. “The best anti-poverty program is a high paying job and a thriving local economy.”
This legislation enhances Florida’s business law framework by making it easier for businesses to relocate to the Sunshine State and provide competitive, high paying jobs to Floridians in the process.
